EFI merges with Agfa DPS, earning 4.1 billion a year, aiming to become the global leader in industrial inkjet.
As industrial inkjet technology accelerates its infiltration into high-value niches like corrugated packaging, textile printing, building materials decoration, and display graphics during a period of stock competition, the global digital printing manufacturing sector is officially witnessing a mega merger that could reshape the industry's power landscape.
On September 28, global digital printing pioneer EFI, controlled by the well-known private equity firm Siris Capital, and Belgium's century-old imaging and industrial giant Agfa, jointly announced a blockbuster agreement: the two sides will officially merge their core digital printing businesses to form a brand-new joint venture focused on industrial-grade inkjet solutions.

According to the agreement structure, EFI will hold a 60% controlling stake in the new joint venture, while Agfa will hold the remaining 40%. In terms of governance, Siris and Agfa will jointly establish the governance framework as equal strategic partners.
The merged entity is projected to generate an annualized revenue of approximately €540 million (around 4.117 billion RMB) by 2026, with business reach covering thousands of industrial clients across more than 100 countries and regions worldwide.
The entire transaction is expected to be completed by the end of 2026 and is currently advancing the usual employee union consultations, antitrust regulatory approvals, and related closing verification procedures.
Strategically, as one of the conditions for a fully deep partnership, Siris has simultaneously signed an agreement to acquire a 19.1% stake held by the investment firm Active Ownership in Agfa's parent company at the time of closing, positioning itself as a core strategic shareholder to fully support Agfa's transition toward high value-added business.
Highly complementary technology puzzle: covering everything from single-pass corrugated packaging to high-precision industrial flatbeds
Looking back at the development trajectories of the two giants, this merger is no sudden capital match but a natural convergence after two years of deep technical exchange. As early as 2024, EFI and Agfa established a global strategic partnership, verifying their high complementarity across hardware and software product lines through OEM collaboration and cross-sharing of underlying printing engines.

EFI's core ace (ultra-high-speed single-pass corrugated and continuous roll-to-roll): centered around the Nozomi series of ultra-high-speed single-pass digital presses for the corrugated packaging industry, supplemented by the globally renowned Vutek wide/extra-wide hybrid inkjet platform and the renowned Reggiani industrial line in digital textile printing, firmly locking in high-speed shipping channels for corrugated boxes, roll-to-roll industrial displays, and fabric printing.
Agfa DPS's core moat (high-precision flatbeds, heavy-duty packaging, and decorative building materials): supported by the globally acclaimed large-format industrial flatbed Jeti Tauro, the Onset Panthera series combining extreme speed with high precision, and the heavyweight platform SpeedSet Orca introduced in recent years for single-sheet folding cartons and corrugated proofs, it has established a high reputation in advertising signage, commercial displays, specialty building material panels, and lightweight paper packaging.
The merger completely eliminates previous homogenization competition in wide-format flatbeds and roll-to-roll printing, forming a full industrial closed loop of "ultra-high-speed single-pass bulk output + extremely high-precision multi-pass heavy-duty processing," enabling the new company to deliver turnkey solutions from proofs and small batch mixed runs to large-scale production to any large packaging plant or printing center globally.
Unlocking €50 million in cost synergy, light-asset transformation drives a growth flywheel
Against the backdrop of high macro supply chain costs and squeezed margins in traditional hardware, this merger is a very precise commercial move. According to an Agfa spokesperson, the new platform will fully leverage R&D, global supply chain procurement, modular production, and service network reuse, expected to gradually release comprehensive cost synergies of €40–50 million in the future.
Additionally, the minimal overlap of global sales channels will instantly activate massive cross-selling: EFI has strong roots in the North and South American packaging sectors, while Agfa has strong channel penetration in continental Europe, the Middle East, and certain industrial specialty printing fields.
Relying on the large installed base, the new company will significantly enhance ongoing monetization of high-margin consumables (specialized UV inks, water-based pigment inks) and end-to-end digital workflow software (such as the EFI Fiery ecosystem and Agfa workflow systems).
Agfa CEO Pascal Juery underscored, "This announcement demonstrates our long-term commitment and strong confidence in digital printing. We chose to partner with Siris to build a joint venture giant, rather than letting DPS operate independently, with the core goal of opening a new exponential growth space for digital printing while creating considerable added value for all Agfa stakeholders.

Agfa Accelerates Structural Restructuring, Veteran Giant Completes Key 'Unburdening and Downsizing'
For Agfa, the long-established Belgian company with nearly 160 years of history, this business divestiture and restructuring marks a watershed moment.
By 2025, Agfa's total group revenue is expected to reach €1.1 billion, covering medical imaging, traditional printing and film, green hydrogen membranes (Zirfon), and high-tech industrial materials.
Among these, the "digital printing and chemicals" division recorded sales of €467 million in 2025, accounting for 43% of the group's total revenue, making it the company's largest core pillar.
In the new round of organizational restructuring implemented by the group in January 2026, Digital Printing Solutions (DPS) was moved under the 'Industrial Solutions' business unit, running alongside the green hydrogen membrane materials business, which represents the future of clean energy.
However, iterating industrial-grade digital printing hardware heavily relies on continuous, massive R&D investments, and operating solo risks being overshadowed by the large-scale procurement power of industry giants.
By injecting the heavy-asset DPS R&D and manufacturing unit into a new entity controlled by PE firm Siris while retaining a 40% stake, Agfa not only shed the burden of bearing high mechatronics R&D risks alone but also secured significant equity investment returns through the scale merger with EFI.
At the same time, Siris directly entered by holding a 19.1% stake in Agfa's parent company, providing Agfa with a strong capital cushion to further deepen its medical imaging AI capabilities and accelerate the industrialization of green hydrogen membranes.
As Siris co-founder and managing partner Frank Beck said, this is far from a simple financial injection; it is a systematic project encompassing capital, technology, and industry reconstruction.
From the early days of equipment vendors competing independently to now the cooperative strength of a multi-billion industrial inkjet platform, the major restructuring of EFI and Agfa DPS sends a strong signal to the global packaging and printing machinery industry: facing shrinking profit margins for downstream processors and the extreme requirements of full-process digitization, the era of industrial inkjet 'lone wolves' is over.
